Terms of Service

1. Description of Service

BinduSoft provides Shop Builder for Web (SBW) — a managed e-commerce platform for businesses in Bangladesh. The Service includes:

• A dedicated storefront website hosted on a subdomain (e.g., yourstore.sbw.bindusoft.com) or your own custom domain.
• An admin panel for managing products, orders, categories, banners, and settings.
• An isolated database per store for complete data separation.
• Features as defined by the selected subscription plan (Basic, Standard, or Premium).
• Onboarding, setup, and handover by the BinduSoft team — we build and configure your store before handing it over to you.

2. Account & Store Setup

• Submitting a store request form does not guarantee immediate activation. Our team will contact you for consultation before creating your store.
• You are responsible for providing accurate business information during the signup process.
• Login credentials are issued by BinduSoft upon store activation and must be kept confidential. You are responsible for all activity under your account.
• You must be at least 18 years old to use the Service.

3. Subscription & Payments

• The Service is offered on a subscription basis (monthly or yearly billing) according to your selected plan.
• Subscription fees are as published on the pricing page and are subject to change with 30 days' notice.
• Payments are due at the start of each billing cycle. Late payment may result in suspension of the Service.
• Yearly plans are billed upfront for the full year. No partial refunds are issued for early cancellation of a yearly plan unless at our sole discretion.
• Monthly plans may be cancelled at any time; access continues until the end of the current billing period.
• All prices are in Bangladeshi Taka (BDT/৳) and inclusive of applicable taxes unless stated otherwise.

4. Acceptable Use

You agree not to use the Service to:

• Sell illegal, counterfeit, or prohibited goods under Bangladeshi law.
• Upload or distribute malware, viruses, or any harmful code.
• Violate the intellectual property rights of any third party.
• Engage in fraudulent transactions or misrepresent your business.
• Attempt to gain unauthorized access to the platform infrastructure or other merchants' data.
• Send unsolicited commercial messages (spam) to customers.
• Use the platform for any activity that violates any applicable local, national, or international law.

Violation of these terms may result in immediate suspension or termination of your store without refund.

5. Your Content

• You retain ownership of all content you upload to the Service (product images, descriptions, etc.).
• By uploading content, you grant BinduSoft a limited, non-exclusive licence to host, display, and deliver that content as part of operating the Service.
• You are solely responsible for ensuring your content does not infringe any third-party rights.
• BinduSoft reserves the right to remove content that violates these Terms or applicable law.

6. Custom Domain

• Custom domain setup is available on applicable plans. You are responsible for registering and maintaining ownership of your domain.
• Domain verification is required via a DNS TXT record. BinduSoft is not responsible for DNS propagation delays.
• If your domain lapses or DNS records are removed, your custom domain will stop working. Your subdomain will remain active.

7. Intellectual Property

• The Shop Builder for Web (SBW) platform, including its software, design, and documentation, is the exclusive property of BinduSoft and is protected by copyright and other intellectual property laws.
• You may not copy, modify, distribute, sell, or reverse engineer any part of the platform.
• The "SBW" and "BinduSoft" trademarks may not be used without prior written permission.

8. Suspension & Termination

• BinduSoft may suspend or terminate your store with notice for non-payment, Terms violation, or inactivity exceeding 90 days after subscription expiry.
• You may terminate your subscription at any time by contacting us. Store data will be retained for 30 days after termination to allow data export.
• Upon termination, your store subdomain and admin panel access will be deactivated.

9. Limitation of Liability

To the maximum extent permitted by law:

• BinduSoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or customers.
• Our total liability to you for any claim arising under these Terms shall not exceed the subscription fees paid in the 3 months preceding the claim.
• We do not guarantee uninterrupted, error-free operation of the Service. Planned maintenance will be communicated in advance where possible.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.

11. Governing Law

These Terms are governed by the laws of the People's Republic of Bangladesh. Any disputes shall be resolved in the courts of Dhaka, Bangladesh. Both parties agree to attempt good-faith negotiation before initiating formal legal proceedings.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform at least 14 days before taking effect. Continued use of the Service after changes constitutes your acceptance.
